Terms of Service

These Terms of Service ("Terms") govern the services provided by Saasonic Digital Marketing ("we," "us," or "our") to clients ("you" or "Client"). By engaging our services, you agree to these Terms in full.

1. Services

Saasonic Digital Marketing provides digital marketing services including, but not limited to: SEO, paid advertising management, social media management, website design and development, content creation, CRM and email marketing, and AI-powered solutions.

Specific services, deliverables, timelines, and fees for each engagement will be outlined in a separate Statement of Work (SOW) or service agreement signed by both parties.

2. Payment Terms

• One-time projects: 50% deposit required before work begins; remaining balance due upon project completion.
• Monthly retainers: Invoiced at the start of each billing period; payment due within 15 days of invoice date.
• Late payments: Accounts unpaid after 15 days may incur a 1.5% monthly late fee. Work may be paused until payment is received.
• Refunds: Deposits are non-refundable once work has commenced. Completed deliverables are non-refundable.

3. Client Responsibilities

To deliver results, we rely on your cooperation. You agree to:

• Provide timely access to accounts, assets, and information required to perform services (e.g., website access, ad accounts, brand materials)
• Review and approve deliverables within agreed timelines — delays in feedback may delay project completion
• Ensure all content, trademarks, and materials you provide are owned by you or properly licensed
• Designate a primary point of contact for communication

4. Intellectual Property

Upon receipt of full payment, all custom deliverables created specifically for you (copy, designs, code) become your property. We retain the right to showcase work in our portfolio unless you request otherwise in writing.

We retain ownership of any proprietary tools, frameworks, templates, or processes used to deliver services. These are licensed to you for use, not transferred.

5. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the agreement.

6. Results and Guarantees

Digital marketing results depend on many factors outside our control, including search engine algorithm changes, competitive landscape, and market conditions. We do not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes.

We commit to applying industry best practices, transparent reporting, and our full professional effort to achieve your goals.

7. Third-Party Platforms

Many of our services involve third-party platforms (Google, Meta, LinkedIn, etc.). We are not responsible for changes to platform policies, algorithm updates, account suspensions, or ad disapprovals made by those platforms. Ad spend budgets paid directly to platforms are separate from our service fees and are non-refundable by us.

8. Termination

By Client: Monthly retainers may be cancelled with 30 days written notice. Project engagements may not be cancelled after work has commenced without forfeiting the deposit and paying for work completed to date.

By Saasonic: We reserve the right to terminate services with 14 days notice if payment obligations are not met, if the client relationship becomes untenable, or if requested work would violate applicable laws or platform policies.

Upon termination, we will provide all completed deliverables paid for to date and transfer any accounts or assets that belong to you.

9. Limitation of Liability

To the maximum extent permitted by law, Saasonic Digital Marketing's total liability for any claim arising from our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or revenue.

10. Indemnification

You agree to indemnify and hold harmless Saasonic Digital Marketing from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your content, or your violation of any third-party rights.

11. Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Pennsylvania.

12. Changes to These Terms

We may update these Terms at any time. Continued engagement of our services after changes constitutes acceptance. Active clients will be notified of material changes via email.
